Welcome to Mind Clash, an entertainment-based mobile quiz game that includes optional gameplay promotions and engagement incentives.

These Terms of Use (“Terms”) govern your access to and use of the Mind Clash mobile application, website, and all related features, content, and services (collectively, the “Services”).

The Services are owned and operated by Bull Icon Interactive Ltd (“Bull Icon,” “Company,” “we,” “us,” or “our”).

Mind Clash is a mobile software application operated by Bull Icon Interactive Ltd and is not a separate legal entity or financial service.

IMPORTANT LEGAL NOTICE: By downloading, installing, accessing, registering for, or using the Mind Clash application and related services (the “Services”), you enter into a legally binding agreement with Bull Icon Interactive Ltd, and not with Apple Inc., Google LLC, or any application marketplace provider. Apple, Google, and any platform providers are not sponsors of, and are not responsible for, any quiz events or promotional incentives offered within the Services. These Terms apply specifically to your use of Mind Clash and its associated services.

All rewards offered within Mind Clash are promotional incentives funded solely by Bull Icon Interactive Ltd.

1. Acceptance and Modifications

1.1 Agreement to Terms

These Terms constitute a legally binding agreement between you and Bull Icon Interactive Ltd. By creating an account, participating in quiz events, or otherwise using our Services, you confirm that you have read, understood, and agree to comply with these Terms and our Privacy Policy (available at https://www.bullicon.com/privacypolicy), which is incorporated by reference.

1.2 Arbitration Notice

THESE TERMS CONTAIN AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 21. BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN COURT PROCEEDINGS, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS.

1.3 Minimum Promotional Payment Request Requirement

Promotional incentives, if issued, may be released only after the total approved promotional incentive amount reaches the minimum issuance threshold of $20 USD (or equivalent). This threshold exists solely for processing efficiency and does not represent a user balance, stored value, or earnings account.

1.4 Modifications

We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting to the App or our website. We will notify you of material changes via email (to your registered address) or in-app notification. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically to stay informed of updates.

2. Eligibility Requirements

2.1 Age Requirement

You must be at least 18 years old to create an account or participate in Mind Clash. The Services are not directed to children or minors. We do not knowingly permit individuals under the age of 18 to use the Services.

2.2 Legal Capacity

You must have the legal capacity to enter into binding contracts under applicable law. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2.3 Geographic Restrictions

The Services may not be available in all jurisdictions. You are responsible for ensuring that your use of Mind Clash complies with all laws applicable in your location. Certain features, including promotional payment issuance, may be restricted or prohibited in some regions.

2.3.1 Legal Restrictions & Regional Bans

Mind Clash may, at its sole discretion, restrict access to the Services in jurisdictions where skill-based competitions or promotional payment issuance are limited, regulated, or prohibited. We reserve the right to deny access to users located in such jurisdictions at any time.

2.4 Employee Restrictions

Current and former officers, directors, employees, consultants, and agents of Bull Icon Interactive Ltd and its affiliates are prohibited from participating in quiz events where promotional incentives may be offered for a period of 24 months following their separation from the company.

2.5 Verification Rights

We may request proof of identity, age, residency, or eligibility at any time. Failure to provide satisfactory verification within the timeframe we specify may result in account suspension or termination. Pending promotional incentive eligibility may be revoked only in cases involving fraud, abuse, violation of these Terms, or where permitted by applicable law.

2.6 Account Review

During review, promotional incentive eligibility may be temporarily suspended while verification is completed.

2.7 Promotional Payment Request Processing

Promotional payment requests are processed manually and may require verification and security review. Most approved promotional payment requests are processed within approximately three (3) to seven (7) business days; however, processing times are estimates only and are not guaranteed. Some promotional payment request may take additional time depending on verification requirements, payment provider processing, and fraud prevention checks.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account by providing accurate, complete, and current information. You may be required to provide your name, email address, date of birth, and other details as specified during registration.

3.2 Account Credentials

You are responsible for maintaining the confidentiality of your username, password, and any other account credentials. You agree to: Use a strong, unique password; Not share your account credentials with anyone; Notify us immediately of any unauthorized access or security breach; Not allow others to access your account.

3.3 Account Responsibility

You are solely responsible for all activities that occur under your account, whether or not authorized by you. We are not liable for any losses resulting from unauthorized account use.

3.4 Accurate Information

All information you provide must be truthful, accurate, and kept up to date. You may be required to provide additional information to verify your identity, age, residency, or eligibility before promotional incentives can be issued. Providing false, misleading, incomplete, or unverifiable information may result in suspension or termination of your account and forfeiture of pending rewards.

3.5 Username Restrictions

Your username must not: Impersonate another person or entity; Infringe upon the rights of others; Contain offensive, vulgar, or inappropriate content; Violate any applicable laws.

3.6 Account Transferability

Accounts are personal and non-transferable. You may not sell, trade, gift, or otherwise transfer your account to another person. Upon your death, all rights to your account terminate automatically.

3.7 Non-Transferability of Balances

Promotional incentive eligibility and virtual items are personal to the account holder and may not be transferred, assigned, sold, traded, gifted, pledged, or shared with another user or third party.

4. App License Grant

4.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Mind Clash mobile application on a device you own or control, solely for your personal, non-commercial use.

4.2 License Restrictions

You may not: Copy, modify, or create derivative works of the App; Reverse engineer, decompile, or disassemble the App; Remove, alter, or obscure any proprietary notices; Use the App for any commercial purpose; Rent, lease, sell, sublicense, or distribute the App; Use the App in any way that violates these Terms.

4.3 Updates and Patches

This license includes any updates, patches, or supplements we provide, which are governed by these Terms unless accompanied by separate terms.

4.4 Reservation of Rights

We retain all rights, title, and interest in and to the App and Services, including all intellectual property rights. This license does not grant you ownership of any portion of the Services.

5. Intellectual Property Rights

5.1 Our Property

All content, features, and functionality of Mind Clash — including but not limited to text, graphics, logos, icons, images, audio clips, video, data compilations, software, quiz questions, game mechanics, and the overall design—are owned by Bull Icon Interactive Ltd or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Trademarks

"Mind Clash" and all related names, logos, product and service names, designs, slogans, and trade dress are trademarks or registered trademarks of Bull Icon Interactive Ltd. You may not use these marks without our prior written permission.

5.3 Limited Use Rights

Except as expressly permitted in these Terms, you may not reproduce, distribute, modify, display, perform, prepare derivative works from, or otherwise exploit any content from the Services without our prior written consent.

5.4 DMCA Compliance

We respect intellectual property rights and expect users to do the same. If you believe your copyrighted work has been infringed, please contact our designated Copyright Agent:

Your notice must include: Your physical or electronic signature; Identification of the copyrighted work claimed to be infringed; Identification of the allegedly infringing material and its location; Your contact information (address, phone, email); A statement that you believe in good faith the use is unauthorized; A statement under penalty of perjury that your notice is accurate and you are authorized to act on behalf of the copyright owner.

We will terminate accounts of repeat infringers in appropriate circumstances.

6. User Content and License

6.1 User Content Definition

"User Content" means any content you submit, post, upload, or transmit through the Services, including but not limited to profile information, photos, avatars, comments, forum posts, feedback, and communications.

6.2 License to User Content

By submitting User Content, you grant Bull Icon Interactive Ltd a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display such User Content solely for the purpose of operating, maintaining, improving, and promoting the Services.

6.3 Content Representations

You represent and warrant that: You own or have the necessary rights to all User Content you submit; Your User Content does not infringe any third-party rights; You have obtained all necessary consents and permissions; Your User Content complies with these Terms.

6.4 Content Standards

User Content must not: Be illegal, fraudulent, defamatory, obscene, pornographic, or offensive; Promote discrimination, hatred, or violence; Infringe intellectual property or privacy rights; Contain viruses, malware, or harmful code; Include personal information of others without consent; Impersonate any person or entity; Violate any applicable laws or regulations.

6.5 Monitoring and Removal

We have no obligation to monitor User Content but reserve the right to review, remove, or modify any User Content at our sole discretion, with or without notice, for any reason, including violation of these Terms.

6.6 Public Nature

User Content posted in public areas (forums, leaderboards, social features) may be viewed by other users and the public. You should not share sensitive personal information publicly.

6.7 No Confidentiality

Except for personal data covered by our Privacy Policy, we do not treat User Content as confidential. Do not submit confidential or proprietary information through public features.

7. Quiz Event Rules

7.1 Quiz Format

Mind Clash is an entertainment quiz game. Quiz events are provided for amusement, personal challenge, and social engagement. Gameplay performance affects only in-app rankings, achievements, and statistics. From time to time, the Company may independently conduct promotional marketing campaigns. Participation in gameplay does not automatically qualify a user for a promotional incentive.

7.2 How to Participate

To participate: Register for an account and log in; Join an active quiz event before it ends; Answer multiple-choice questions during the quiz period; Earn points for correct answers; Participation may make a user eligible for consideration in optional promotional campaigns conducted by the Company.

7.3 Scoring System

Points are awarded for each correct answer. Scoring may consider both accuracy and response time. Bonus points may be awarded for achievements, streaks, or special challenges. Lifetime points track your cumulative performance.

7.4 Determining Top-Ranked Participants

Participants are ranked on the event leaderboard according to their quiz performance, including accuracy and response time. At the conclusion of an event, participants whose final ranking falls within the prize positions displayed for that event are the official winners. Only the number of winners specified in the event details will receive rewards.

7.5 Quiz Schedule

Quizzes run on predetermined schedules posted in the App. You must join and complete the quiz within the designated time window. Late entries are not accepted. Quiz schedules may change without notice.

7.6 Question Content

Questions are provided for entertainment and skill assessment purposes. If a question is determined by us to be invalid, ambiguous, or incorrect, we may, at our sole discretion, adjust scoring, award points, void the affected question, or modify rankings. Our resolution of scoring issues is final.

7.7 Performance-Ranked Event Rewards

Some quiz events display prize amounts and winning positions before the event begins. For those events, rewards are awarded to participants based solely on their final leaderboard ranking within that specific event. Examples include: • fixed rewards to top-ranked participants • tiered rewards based on placement • limited event prize pools If a participant finishes within the displayed winning positions and complies with these Terms, the participant will receive the corresponding reward after verification. Rewards are funded by Bull Icon Interactive Ltd and are provided as part of the skill-based contest.

7.8 Event-Specific Rules

Each quiz event may have its own: duration, scoring method, number of winners, prize amounts. Event rules and reward structure will be displayed in the App before the event begins. By participating in an event, you agree to the rules displayed for that event.

7.9 Skill-Based Gameplay

Mind Clash is a knowledge and reaction-speed game. Event outcomes are determined by player skill, including correct answers and response timing. Random chance does not determine leaderboard placement.

7.10 Non-Gambling Nature

Mind Clash does not involve wagering, betting, or staking money. Users do not risk money or anything of value in order to participate. No purchase is required to participate in any quiz event. Because: entry is free, no payment is required, performance is skill-based. Mind Clash is a promotional skill contest and not a gambling service.

7.11 No Purchase Necessary

Purchasing virtual items, coins, or optional features: does not affect quiz answers, does not improve ranking, does not increase chances of winning, does not unlock prize eligibility. All users have equal opportunity to participate regardless of purchases.

7.11.1 Free Participation Method

All users may participate in quiz events without making any purchase or payment. In-app purchases provide optional cosmetic or convenience features only and do not provide a competitive advantage, improve quiz accuracy, alter scoring, or increase the likelihood of receiving rewards.

7.12 Limited Promotional Prizes

Rewards are limited promotional prizes funded by Bull Icon Interactive Ltd as part of user engagement and marketing activities. Only a small percentage of participants will receive rewards. Participation does not guarantee a reward.

7.13 Not Employment or Income

Rewards are promotional prizes only. They are not wages, salary, or compensation for labor. Mind Clash is an entertainment application and should not be relied upon as a source of income.

7.14 Reward Verification

Before issuing a reward, we may require: identity verification, eligibility review. Failure to complete verification may result in disqualification from that event.

7.15 Final Determination

Bull Icon Interactive Ltd reserves the right to: correct scoring errors, disqualify cheating accounts, adjust rankings affected by technical issues. All leaderboard decisions are final.

Tie-Breaker Rule

If two or more participants finish with identical scores, ranking will be determined by the fastest completion time. If a tie still exists, the system timestamp of the final correct answer will determine placement. The Company’s system records are final.

7.16 Promotional Prize Nature

Rewards offered in certain events are promotional prizes funded by Bull Icon Interactive Ltd as part of user engagement activities. These prizes are limited in quantity and awarded only to participants who achieve the required leaderboard placement in the specific event. Rewards are not wages, employment compensation, or payment for services.

7.17 Non-Gambling Classification

Mind Clash does not require any payment to participate in quiz gameplay. In-app purchases are optional and provide only cosmetic or convenience features. Purchasing virtual items does not improve quiz answers, accuracy, ranking calculation, or likelihood of receiving a promotional incentive.

8. Virtual Items and In-App Purchases

8.1 Virtual Items

Virtual items provide cosmetic features, personalization, or convenience functionality only and do not improve a player’s knowledge, answers, accuracy, scoring calculation, or reward eligibility.

8.2 Purchase Terms

Virtual items may be: Purchased with real money through in-app purchases; Earned through gameplay; Awarded as promotional bonuses.

8.3 No Real-World Value

Virtual items have no real-world monetary value and cannot be exchanged for cash or legal tender. Virtual items are not your personal property and cannot be transferred, sold, or traded outside the App.

8.4 No Refunds

All purchases of virtual items are final and non-refundable, except where required by applicable law or at our sole discretion.

8.5 Price Changes

We reserve the right to modify the pricing of virtual items at any time without notice.

8.6 License to Virtual Items

You receive only a limited, personal, non-transferable, revocable license to use virtual items within the App. This license terminates when your account is closed or these Terms end.

8.7 Expiration

Virtual items, particularly promotional bonuses, may expire after a specified period. Expiration dates will be communicated when items are awarded.

9. Promotional Incentives and Issuance

9.1 Event Prize Awards

Where a quiz event displays prize positions or reward amounts, eligible participants who finish within the published winning positions will receive the corresponding promotional prize for that event, subject to verification and compliance review. Rewards are issued only to the number of winners specified for that event. Leaderboard placement at the conclusion of the event determines eligibility for that specific event’s reward. Bull Icon Interactive Ltd reserves the right to review results for cheating, abuse, multiple accounts, automation, or rule violations prior to issuing rewards.

9.2 Issuance Threshold

Where a promotional incentive is approved, the Company may issue the payment only after the total approved amount reaches $20 USD for administrative processing efficiency. This threshold does not represent a user account balance or stored value.

9.3 Promotional Money Restrictions

If you are issued promotional credits, they may expire after the period specified at the time of issuance. Promotional credits may qualify for promotional payment issuance only after eligibility review and threshold requirements are satisfied.

9.4 Promotional Payment Delivery

Approved promotional payments may be delivered through third-party payment providers such as PayPal. By submitting a promotional payment request, you agree to the terms and privacy policies of the selected payment provider. The Company does not operate a payment account or hold funds on behalf of users.

9.4.1 No Financial Account

Mind Clash is not a bank, financial institution, or payment service. The App does not allow users to deposit funds or hold user-owned money. Any reward displayed represents a pending promotional prize amount associated with completed contest events and not a user deposit or stored-value account. Funds are issued only after verification and approval of a reward request.

9.5 Processing Time

We will process approved promotional payment requests within a reasonable timeframe. Processing times may vary based on payment method, verification requirements, and other factors.

9.6 Transaction Fees

You are responsible for all fees charged by payment processors, banks, or other third parties involved in transferring funds to you.

9.7 Verification Requirements

Prior to issuing certain promotional payments, Where legally required for compliance, we may request identity verification information prior to issuing certain promotional payments. Failure to comply will result in ineligibility for promotional payment issuance and potential account closure.

9.8 Compliance Screening

We may review accounts and transactions for fraud prevention and abuse detection. Accounts suspected of misuse, cheating, or violation of these Terms may be suspended or restricted.

9.9 Currency

Promotional payments are issued in U.S. Dollars unless otherwise specified. We may allow you to select your preferred currency where available.

9.10 Tax Responsibilities

Users are solely responsible for determining and paying any taxes that may apply to promotional incentives received. Where required by law, the Company may request identity verification or tax documentation before issuing certain promotional payments.

9.11 Geographic Restrictions

Some jurisdictions prohibit or restrict promotional incentive events. If you reside in such a jurisdiction, you may be ineligible to be selected for a promotional incentive. By participating, you acknowledge this risk.

9.12 Forfeiture

If verification is not completed, promotional incentives may be withheld or canceled as permitted by applicable law.

9.13 Anti-Fraud Compliance & Reporting

Mind Clash actively monitors accounts for fraud, suspicious activity, and suspicious activity, abuse, or violation of fair play policies. We may delay or cancel promotional payment issuance or temporarily restrict account access while an investigation is ongoing. We may investigate violations of these Terms and cooperate with lawful requests from authorities where required by applicable law.

9.14 No Earnings or Income Guarantee
Participation in Mind Clash is voluntary entertainment. Rewards are promotional in nature and are not wages, salary, compensation for labor, or income for services rendered. Participation does not create employment, contractor, or compensation rights.

10. Payment Processing and Fees

10.1 Third-Party Processors

Promotional payments, when issued, may be delivered through independent third-party payment providers. Bull Icon Interactive Ltd does not provide payment services and does not hold funds on behalf of users.

10.2 Payment Information

You authorize us to share necessary payment information with processors to complete transactions. This information is governed by their privacy policies.

10.3 Valid Payment Methods

You represent and warrant that: You have the legal right to use any payment method you provide; All payment information is accurate and current; You are the authorized account holder.

10.4 Third-Party Fees

Third-party payment processors may charge fees for transactions. You agree to pay all applicable fees charged by payment providers, financial institutions, or currency conversion services.

10.5 Declined Transactions

We are not responsible if a promotional payment request is declined due to insufficient funds, payment processor errors, or other issues beyond our control.

11. Prohibited Conduct

You agree NOT to:

11.1 Legal Violations

Violate any local, state, national, or international law; Engage in fraud, abuse, or deceptive activity; Use the Services for any illegal purpose.

11.2 Unauthorized Access

Access or attempt to access accounts other than your own; Bypass security measures or authentication systems; Gain unauthorized access to our systems, servers, or networks.

11.3 Interference and Disruption

Interfere with or disrupt the Services or servers; Impose unreasonable loads on our infrastructure; Launch denial-of-service attacks; Introduce viruses, malware, or other harmful code.

11.4 Automated Tools and Bots

Use bots, robots, spiders, scrapers, or automated tools to access the Services; Use any device, software, or routine to interfere with quiz functionality; Employ artificial intelligence or automated systems to answer quiz questions; Use scripts or macros to gain unfair advantages.

11.5 Cheating and Manipulation

Collude with other users to manipulate results; Share quiz questions or answers during active competitions; Exploit bugs, glitches, or vulnerabilities; Manipulate scoring systems or reward allocations; Use multiple accounts or identities (multi-accounting).

11.6 Impersonation and Misrepresentation

Impersonate any person, entity, or company employee; Misrepresent your identity, age, or location; Use false or misleading information.

11.7 Intellectual Property Infringement

Infringe copyrights, trademarks, or other IP rights; Use our trademarks without permission; Reverse engineer or copy our quiz content.

11.8 Harmful Content

Post defamatory, obscene, or offensive content; Harass, threaten, or abuse other users; Promote hatred, violence, or discrimination; Share sexually explicit or pornographic material; Distribute content depicting illegal activities.

11.9 Spam and Solicitation

Send unsolicited messages or spam; Promote commercial products or services without permission; Distribute affiliate links or multi-level marketing schemes.

11.10 Data Collection

Collect or harvest information about other users; Scrape content from the Services; Build competing products using our data.

11.11 Circumvention

Attempt to bypass geographic or eligibility restrictions; Use VPNs or proxies to mask your location fraudulently; Evade IP bans or account suspensions.

12. Account Restrictions and Fair Play

12.1 One Account Per Person

You may maintain only ONE account. Creating multiple accounts (multi-accounting) is strictly prohibited and will result in closure of all accounts and ineligibility for any pending promotional incentives, as permitted by applicable law.

12.2 Device Limitations

We may limit, monitor, or restrict access from multiple devices, shared devices, emulators, or device patterns that suggest unfair play, account sharing, or automation.

12.3 Disconnection Policy

Intentional disconnection during quizzes is prohibited. If we determine you have intentionally disconnected to avoid competition or manipulate results, we may terminate your account with no refund.

12.4 Fair Play Commitment

All participants must compete fairly using only their own knowledge and skills. Any form of cheating, including but not limited to using external resources, answer-sharing, or coordinated play, violates these Terms.

12.5 Technical Malfunctions

We are not responsible for: Lost network connections; Hardware or software malfunctions; Incorrect or delayed score posting; Technical errors affecting gameplay.

12.6 System Errors

In the event of a system error or technical issue, the Company may review the event and adjust results or incentive eligibility as reasonably necessary to ensure fair gameplay. If we incorrectly credit your account, you must notify us immediately. If an incentive is issued due to an error, we may correct or cancel the issuance where permitted by law.

12.7 Investigation Rights

We reserve the right to investigate suspected violations, including: Reviewing gameplay patterns and statistics; Analyzing device and IP information; Monitoring communications; Requesting additional verification.

12.8 Enforcement Actions

Upon detecting violations, we may: Suspend or terminate your account immediately; Become ineligible for any pending promotional incentives; Ban you from future participation; Pursue legal remedies, including criminal prosecution; Report violations to law enforcement.

12.9 Final Decisions

Our determinations regarding violations, fair play, and eligibility are final and binding. We are not required to provide detailed explanations for enforcement actions.

13. Privacy and Data Collection

13.1 Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at https://www.bullicon.com/privacypolicy. By using the Services, you consent to our data practices as described in the Privacy Policy.

13.2 Information We Collect

We collect information you provide directly, information about your use of the Services, and information from third-party sources as detailed in our Privacy Policy.

13.3 Data Use

We use your information to: Provide and operate the Services; Communicate with you; Maintain security and prevent fraud; Comply with legal obligations; Administer optional promotional campaigns.

13.4 Children's Privacy

We do not knowingly collect information from children under 13. If you believe we have collected such information, please contact us immediately.

13.5 Communications

By creating an account, you consent to receive: Transactional emails (account notifications, reward information); Administrative communications (Terms updates, policy changes); Marketing communications (which you may opt out of); SMS/text messages if you provide your phone number. You may opt out of marketing communications but cannot opt out of essential service-related messages.

13.5 Regional Privacy Rights

Users located in jurisdictions with enhanced data protection laws, such as the European Union (GDPR), the United Kingdom, or the State of California (CCPA/CPRA), may have additional rights relating to access, correction, deletion, or restriction of personal information. If you download Mind Clash from Google Play, you agree to the Google Play Terms of Service and acknowledge that Google is not responsible for the App or its content. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BULL ICON INTERACTIVE LTD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: Loss of profits, revenue, data, or use; Loss of goodwill or business opportunities; Personal injury or emotional distress; Service interruptions; Cost of substitute services; Any other intangible losses — WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

19.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) $100 USD, OR (B) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

19.3 Essential Purpose

YOU ACKNOWLEDGE THAT THESE LIMITATIONS ARE REASONABLE AND ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND US.

19.4 Exceptions

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

19.5 No Liability for User Actions

WE ARE NOT LIABLE FOR: Actions or omissions of other users; User Content posted by third parties; Disputes between users; Loss of rewards due to your eligibility or verification failures.

20. Indemnification

20.1 Your Indemnity Obligation

You agree to defend, indemnify, and hold harmless Bull Icon Interactive Ltd, its parent, subsidiaries, affiliates, and their respective officers, directors, employees, agents, licensors, contractors, and service providers (collectively, "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising from or related to: Your use or misuse of the Services; Your violation of these Terms; Your violation of any rights of another person or entity; Your User Content; Your violation of any applicable laws or regulations; Any fraudulent or illegal activity by you.

20.2 Defense and Settlement

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with our defense of such claims.

20.3 Survival

This indemnification obligation survives termination of these Terms and your use of the Services.

21. Dispute Resolution and Arbitration

21.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at support@bullicon.com to attempt to resolve the issue informally. We will attempt to resolve your concern within 45 days.

21.2 Binding Arbitration

If informal resolution fails, you and Bull Icon Interactive Ltd agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") will be resolved exclusively through final and binding arbitration, rather than in court, except as provided in Section 21.3.

21.3 Exceptions to Arbitration

The following may be brought in court: Claims in small claims court (if the claim qualifies); Claims seeking injunctive relief for intellectual property infringement.

21.4 Definition of Disputes

"Disputes" includes any dispute, claim, or controversy (whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory) arising from or relating to these Terms, the Services, or our relationship with you, including: The validity, enforceability, or scope of this arbitration provision; The applicability of these Terms; Billing disputes; Privacy or data security claims; All claims that arose before these Terms or any prior agreement.

21.5 Arbitration Rules

Arbitration will be conducted by JAMS (Judicial Arbitration and Mediation Services) under its Streamlined Arbitration Rules and Procedures, as modified by these Terms. The JAMS rules are available at www.jamsadr.com.

21.6 Arbitration Process

Either party may initiate arbitration by filing a demand with JAMS. The arbitration will be conducted by a single, neutral arbitrator. The arbitrator will be selected according to JAMS rules. If the parties cannot agree on an arbitrator, one will be appointed under JAMS procedures. The arbitrator is bound by these Terms.

21.7 Notice Requirement

Before initiating arbitration, the filing party must send written notice to the other party: To Us: Bull Icon Interactive Ltd, Attn: Legal Department, support@bullicon.com, with subject line "Arbitration Notice"; To You: To your registered email address. The notice must describe the dispute and the relief sought. The parties will have 45 days from receipt of the notice to resolve the dispute informally.

21.8 Arbitration Location

For claims under $10,000: The arbitration will be conducted via written submissions unless you request a telephonic or in-person hearing. For claims of $10,000 or more: The location will be determined according to JAMS rules.

21.9 Arbitration Fees

If your claim is for less than $10,000, we will pay the arbitration filing fee (or reimburse you if you pay it). If your claim is for $10,000 or more, filing fees are paid according to JAMS rules; we will reimburse your filing fee if you prevail. Each party pays its own attorneys' fees unless the arbitrator awards fees to the prevailing party under applicable law or finds the losing party brought a frivolous claim.

21.10 Arbitration Award

The arbitrator may award any relief that a court could award, including declaratory or injunctive relief, but only in favor of the individual party seeking relief. The arbitrator's decision is final and binding. Judgment on the award may be entered in any court with jurisdiction.

21.11 Individual Arbitration Only

THE ARBITRATOR MAY NOT CONSOLIDATE MULTIPLE PARTIES' CLAIMS AND MAY NOT PRESIDE OVER ANY CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary for that party's individual claim.

21.12 Class Action Waiver

YOU AND BULL ICON INTERACTIVE LTD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE, CLASS, OR COLLECTIVE PROCEEDING.

21.13 Confidentiality

The arbitration proceedings, including all documents, testimony, and the arbitrator's award, are confidential and may not be disclosed except as necessary to enforce the award or as required by law.

21.14 Federal Arbitration Act

This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16) and evidences a transaction involving interstate commerce.

21.15 Severability

If any portion of this arbitration provision is found to be unenforceable, the unenforceable portion will be severed and the remaining portions will be enforced (except that if the class action waiver is found invalid, this entire arbitration provision is void).

21.16 Survival

This arbitration provision survives termination of these Terms and your relationship with us.

21.17 Right to Opt Out

You may opt out of this arbitration agreement by sending written notice to support@bullicon.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement. Opting out does not affect any other provisions of these Terms.

22. Governing Law and Venue

22.1 Governing Law

These Terms and any disputes arising from or related to the Services shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws principles.

22.2 Venue and Jurisdiction

For any disputes not subject to arbitration (such as claims in small claims court or injunctive relief for IP infringement), you agree to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York.

22.3 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, YOU AND BULL ICON INTERACTIVE LTD WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.

22.4 Statute of Limitations

Any claim or cause of action arising from or related to these Terms or the Services must be filed within one (1) year after the claim or cause of action arose. After that period, such claims are permanently barred.

23. Class Action Waiver

YOU AND BULL ICON INTERACTIVE LTD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL ACTION. You agree not to participate in any class action or collective proceeding against us. This waiver applies whether the claim is brought in arbitration or court.

24. Term, Termination, and Survival

24.1 Term

These Terms commence when you first access or use the Services and continue until terminated by either party.

24.2 Termination by You

You may terminate these Terms at any time by: Closing your account through the App settings; Deleting the App from all your devices; Ceasing all use of the Services. Termination does not entitle you to issuance of any unapproved promotional incentives.

24.3 Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice, including if: You violate these Terms; We suspect fraudulent, abusive, or illegal activity; Required by law or law enforcement; We cease providing the Services; We determine it is necessary to protect our rights or the rights of others.

24.4 Effect of Termination

Upon termination: Your right to access and use the Services immediately ceases; We may delete your account and all associated data; You remain liable for all obligations incurred prior to termination; Accrued rights and obligations survive.

24.5 Forfeiture Upon Termination

If we terminate your account for violating these Terms, you become ineligible for any pending promotional incentives not yet issued. Any unissued promotional incentives and unused virtual items may be cancelled.

24.6 Post-Termination Obligations

After termination, you must: Cease using the Services; Delete the App from all devices; Destroy any copies of our content in your possession.

24.7 Survival

The following provisions survive termination: Sections 5 (Intellectual Property), 6 (User Content License), 9.13 (Forfeiture), 17 (Feedback), 18 (Disclaimers), 19 (Limitation of Liability), 20 (Indemnification), 21 (Arbitration), 22 (Governing Law), 23 (Class Action Waiver), and 25 (General Provisions).

25. General Provisions

25.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Bull Icon Interactive Ltd regarding the Services and supersede all prior agreements, communications, and understandings.

25.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

25.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by our authorized representative.

25.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may freely assign these Terms without restriction. Any attempted assignment in violation of this section is void.

25.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated (e.g., Apple as a third-party beneficiary under Section 15.1).

25.6 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

25.7 Interpretation

Headings are for convenience only and do not affect interpretation. "Including" means "including without limitation." The words "herein," "hereof," and "hereunder" refer to these Terms as a whole.

25.8 Electronic Communications

You consent to receive communications from us electronically, including via email or in-app notifications. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

25.9 Export Controls

You may not use the Services if you are located in a country embargoed by the United States or are on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws.

25.10 Government Users

If you are a U.S. government entity, the Services are "commercial computer software" and "commercial computer software documentation" as those terms are used in 48 C.F.R. § 12.212 and are provided with only those rights granted to all other users under these Terms.

25.11 Promotional Display

Your username, avatar, and in-app achievements may be displayed within the App, leaderboards, or official social media pages solely for community recognition and gameplay promotion. We will not sell your personal identity or contact information to third parties for advertising.

25.12 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of any conflict, the English version prevails.

25.13 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us. You have no authority to bind us or make commitments on our behalf.

25.14 User Disputes

We are not responsible for disputes between users. You release us from any claims, demands, and damages arising from disputes with other users.

25.15 California Users
